License
Understanding the terms of the license agreement can be difficult, so I draw up the texts of my agreements as clear as possible. Please note that these Agreements applies only when purchasing fonts directly from me by email request. The license agreements of my vendor partners may differ from market to market.
Desktop
This is the End User License Agreement (Agreement, EULA) effective from the date of purchase between You (Licensee) and Michael Rafailyk (Licensor). Michael Rafailyk grants You and Your licensed Users of the Desktop workstations a non-exclusive license to use the Font Software.
Period of use
The Desktop license is perpetual.
Permitted Uses
You may install the Font Software on a Licensed Desktop User’s Workstation(s). You may create, edit, view, and print materials using the Font Software. You may distribute materials if these materials will be represented as an raster image (such as GIF, JPEG, PNG) or a vector file (in this case the text typed in purchased font should be outlined), and if the materials do not contain the Font Software. You may embed the Font Software into Non-Commercial Electronic Documents (such as PDF) if the Font Software cannot be extracted. In addition to the copies installed on licensed workstations, you may make two non-public backup copies of the Font Software for Your internal backup purposes.
Commercial Printers
You are permitted to make a temporary copy of the Font Software for use by a commercial printer or service bureau solely for use in the printing of your own materials. In case your document needs to be edited by a commercial printer, the commercial printer must purchase a separate license to use the Font Software.
Consulting for Client
If you are an advertising agency or design consultancy working for a client and if your client will use copies of the Font Software, your client must also purchase an appropriate license.
Limitations
The maximum number of users of Your organization who may use the Font Software may not exceed the number of Licensed Desktop Users indicated in Your invoice when licensing the Font Software. In the event Your Use of the Font Software exceeds Your licensed amounts of Desktop Users, You agree to license from Michael Rafailyk the necessary additional amounts and pay any fee associated with such increase.
Restrictions
You may not transfer Your license rights. You may not resale, rent, sublicense, give, or distribute the Font Software. You may not modify the Font Software in any way. You may not embed the Font Software in open source software. You may not use a Font Software as a webfont, storing, serving, or providing access to the Font Software to third parties via the internet.
Intellectual Property
Michael Rafailyk owns all rights, title to Font Software, its structure, code, and related files, including all intellectual and property rights therein such as copyright, design, and trademarks rights. The Font Software is protected by the copyright law and intellectual and industrial property rights of Ukraine and other countries.
Termination
This license Agreement may be terminated without notice if You breach and/or fail to comply with any term contained herein. In this case, the termination of the Agreement shall not preclude Michael Rafailyk from suing You for damages of any breach of the Agreement. Also, this license may be terminated by You at any time by destroying any copies of the Font Software.
Webfont
This is the End User License Agreement (Agreement, EULA) effective from the date of purchase between You (Licensee) and Michael Rafailyk (Licensor). Michael Rafailyk grants You a non-exclusive license to use the Font Software on the website.
Period of use
The Webfont license is perpetual.
The price
The price is based on Average Monthly Unique Visitors of the website. For each year, if actual use exceeds the prepaid amount you will be charged the difference between the prepaid amount and the actual use price based on the tier-based pricing in effect at the time of purchase. For a multi-year usage, you will be asked to report actual use at the close of each year and pay any difference between the prepaid and the actual use price, with no penalty.
Permitted uses
The license permit you to self host embedded webfont versions of the Font Software on the website so that the fonts are viewed in live-text format. The license permits embedding in an unlimited number of domains so long as they are substantially dedicated to the licensed brand.
Subsetting
You can subset the Font Software files embedded in the licensed websites to reduce their file size. Michael Rafailyk is not responsible for any display or other technical problems which may occur as a result of your use of third-party software for subsetting. You are not allowed to change the name of the subsetted webfont files, but you can add a suffix to the name, such as "-Latin-Subset" or so.
